1. AGREEMENT TO TERMS

Welcome to ARSA Technology’s e-commerce platform. By accessing our website at shop.arsa.technology (the “Website”) and purchasing our products or services, you agree to be bound by these Terms and Conditions (“Terms”).

If you do not agree to these Terms, please do not use our Website or purchase our products.

These Terms constitute a legally binding agreement between you (“Customer,” “you,” or “your”) and PT Trisaka Arsa Caraka, operating as ARSA Technology (“ARSA,” “we,” “us,” or “our”), a company established under Indonesian law with its principal office in Surabaya, Indonesia.


2. DEFINITIONS

For the purposes of these Terms:

  • “AI Box” refers to ARSA’s edge computing hardware devices including Basic Safety Guard, Smart Retail Counter, Traffic Monitor, and DOOH Audience Meter.
  • “Products” refers to all hardware, software, and API services offered by ARSA Technology through this Website.
  • “Services” includes installation, setup assistance, technical support, and customization services.
  • “Customer Infrastructure” refers to pre-existing equipment, network, and facilities required for product operation.
  • “Warranty Period” means the 1-year period from the date of product delivery or installation, whichever is later.

3. PRODUCT INFORMATION & PRICING

3.1 Product Accuracy

ARSA makes every effort to ensure that product descriptions, specifications, images, and pricing information on the Website are accurate. However, we do not warrant that product descriptions are error-free, complete, or current, images precisely represent the actual product color or appearance, or all products listed are available for immediate delivery.

3.2 Pricing

  • All prices are listed in US Dollar (USD) unless otherwise stated
  • Prices are subject to change without notice
  • The price applicable to your order is the price displayed at the time of order confirmation
  • Prices include hardware, pre-installed software, and standard warranty, as specified in each product listing
  • Prices exclude taxes (VAT/PPN), shipping fees, installation services (unless specified), and additional customization

3.3 Taxes

For Indonesian Customers:

  • Value Added Tax (VAT/PPN) at 11% will be added to all invoices in accordance with Indonesian tax law
  • Tax-exempt customers must provide a valid Tax Exemption Certificate (SKB) before order confirmation
  • Tax invoice (Faktur Pajak) will be issued for all taxable transactions

For International Customers:

  • Customers are responsible for any applicable import duties, customs fees, or local taxes in their destination country
  • Listed prices do not include customs clearance fees or import duties

3.4 Product Availability

  • Product availability is subject to stock levels
  • ARSA reserves the right to discontinue products or modify specifications without prior notice
  • If an ordered product becomes unavailable, we will notify you within 48 hours and offer alternatives or a full refund

4. ORDERS & PAYMENT

4.1 Order Process

  1. Product Selection: Add products to your cart through the Website
  2. Checkout: Provide accurate delivery and billing information
  3. Payment Method: Select PayPal as your payment method
  4. Order Confirmation: You will receive an order confirmation email with order details and invoice
  5. Payment Processing: Complete payment securely through PayPal
  6. Order Processing: Order fulfillment begins upon payment verification

4.2 Order Acceptance

  • An order confirmation email does not constitute ARSA’s acceptance of your order

4.3 Payment Method

All payments are processed exclusively through PayPal.

PayPal supports the following payment methods:

  • PayPal Balance: Pay directly from your PayPal account
  • Credit/Debit Cards: Visa, Mastercard, American Express, Discover (processed through PayPal)
  • Bank Accounts: Link your bank account to PayPal (availability varies by country)
  • PayPal Credit: Financing option available in select countries
  • Local Payment Methods: Various local payment methods available through PayPal depending on your country

4.4 Payment Terms

Standard Retail Orders:

  • Full payment required before shipment
  • Payment must be completed within 24 hours of order placement
  • Orders not paid within 24 hours will be automatically cancelled
  • You will receive payment confirmation from PayPal immediately upon successful transaction

Corporate/Enterprise Orders:

  • Purchase Orders with credit terms available for registered corporate customers
  • Requires company registration documents and credit approval

4.5 Currency & Exchange Rates

  • Prices displayed in US Dollar (USD)
  • Currency conversion fees: PayPal typically charges 3-4%
  • ARSA is not responsible for PayPal’s currency conversion rates or fees

4.6 Payment Security

  • All transactions processed through PayPal’s secure, PCI DSS-compliant platform
  • ARSA never receives or stores your credit card information
  • All payment data encrypted using SSL/TLS technology
  • PayPal Buyer Protection covers eligible purchases

4.7 Failed or Declined Payments

If your payment is declined or fails:

  • Verify payment information and try again
  • Contact your bank or PayPal support
  • Contact ARSA support at [email protected] if problems persist
  • Orders with failed payments will be held for 24 hours before automatic cancellation

4.8 Refund Processing

When refunds are issued:

  • Refunds processed back to original PayPal payment method within 2-3 business days
  • PayPal typically credits refunds within 5-10 business days
  • Currency conversion fees charged by PayPal are non-refundable
  • If exchange rates changed, refund amount in your local currency may differ slightly

5. SETUP REQUIREMENTS & INSTALLATION

5.1 “5-Minute Setup” Definition

The advertised “5-minute setup” time refers to the ARSA AI Box software configuration and camera connection process. This setup time applies only when the Customer’s site already has the following infrastructure in place and fully operational:

5.2 Required Pre-Existing Customer Infrastructure

1. CCTV Cameras:

  • IP cameras with RTSP or ONVIF protocol support
  • Cameras must be installed, powered, and operational
  • Minimum resolution: 4MP (8MP recommended)

2. Network Connectivity:

  • Stable Local Area Network (LAN) with Ethernet connectivity
  • Minimum bandwidth: 2 Mbps per camera (5 Mbps recommended)
  • Network switch or router with available ports
  • Static IP addressing capability (for remote access)

3. Power Supply:

  • Standard electrical outlet (220V AC, 50Hz for Indonesia)
  • Power outlet within 2 meters of AI Box installation location
  • Strongly recommended: Uninterruptible Power Supply (UPS)

4. Camera Positioning & Environment:

  • Cameras mounted at appropriate height: 2.5-4 meters recommended
  • Camera angle optimized: 30-45° from horizontal
  • Clear, unobstructed view of detection zones
  • Adequate lighting conditions
  • Environmental conditions: Temperature 0°C to 40°C, Humidity 20% to 80%

5.3 Turnkey Installation Services

For Customers without existing CCTV infrastructure, ARSA offers complete turnkey installation services including site survey, camera procurement and installation, network infrastructure setup, and staff training. Timeline: typically 3-7 business days depending on site size. Contact [email protected] for turnkey project quotation.


6. DELIVERY & SHIPPING

6.1 Delivery Areas

Indonesia:

  • Primary Coverage: Java Island (Surabaya 1 day, Jakarta 1-2 days, other cities 2-5 days)
  • Extended Coverage: All major cities across Indonesia (4-10 business days)

International Shipping:

  • Available to most countries worldwide via DHL, FedEx, or TNT Express (7-21 business days)

6.2 Delivery Timeline

Timelines are estimates from date of order processing. Custom/Made-to-Order Products require 14-30 business days production time plus delivery time.

6.3 Shipping Costs

  • Calculated automatically at checkout based on destination, weight, and delivery method
  • Free Shipping: Available for All Orders in Indonesia, APAC, European Countries, Middle East, North America, and South America

6.4 Tracking & Delivery Notifications

  • Email notification when order ships with tracking number
  • Track order through your ARSA account or carrier website
  • SMS notification when package is out for delivery (Indonesia only)

6.5 Inspection Upon Delivery

CRITICAL: Inspect Immediately

  • Check package condition upon delivery
  • Inspect contents for damage or missing items
  • Report any damage within 24 hours: [email protected]
  • Keep all packaging materials
  • Failure to report damage within 24 hours may void damage claims

6.6 International Shipping Considerations

  • Customer responsible for all customs duties, taxes, and clearance fees
  • Customs clearance can take 3-14 days
  • Customer must verify import regulations in destination country
  • Some countries restrict import of electronic/surveillance equipment

7. WARRANTY & SUPPORT

7.1 Hardware Warranty

All ARSA AI Box hardware products include a 1-year manufacturer’s warranty from date of delivery.

Warranty Covers:

  • Manufacturing defects in materials or workmanship
  • Component failures under normal operating conditions
  • Hardware malfunctions not caused by Customer actions

Not Covered:

  • Physical damage (drops, impacts, liquid damage)
  • Misuse, improper installation, or unauthorized modifications
  • Power surges (use UPS recommended)
  • Environmental damage, normal wear and tear
  • Force majeure events

7.2 Software Warranty

Pre-installed software warranted to function as described for 1 year from delivery. Includes bug fixes, security updates, and minor feature improvements during warranty period.

7.3 Warranty Claim Process

  1. Contact [email protected] with order number, serial number, and issue description
  2. Remote troubleshooting performed when possible
  3. If hardware defect confirmed, RMA issued
  4. Return product (Customer paid for shipping cost)
    • Indonesian Customer : Must use JNE YES (if available) or JNE Regular with Insurance
    • International Customer : Must use DHL or FedEX Express with Insurance
  5. Repair completed within 7-10 business days OR replacement shipped within 5-7 days

7.4 Technical Support

Included with All Products:

  • 30-Day Premium Post-Installation Support: Email/phone support, 4-hour response time
  • 1-Year Standard Support: Email support, 48-hour response time, knowledge base access

Premium Support Plans (Optional):

  • Priority Support: USD 350/year
  • Premium Support: USD 948/year (includes 24/7 emergency support, on-site visits)
  • Enterprise Support: Custom pricing

8. RETURNS & REFUNDS

8.1 No Returns Policy

ALL SALES ARE FINAL. Once a product has been delivered and accepted by the Customer, it cannot be returned for refund or exchange.

This policy applies to:

  • All AI Box products (Basic Safety Guard, Smart Retail Counter, Traffic Monitor, DOOH Audience Meter)
  • Health Kiosks
  • API subscriptions and software licenses
  • All hardware and software products
  • Accessories and components
  • Custom and standard configurations

Why This Policy:

  • Products are specialized technology with pre-installed proprietary software
  • Each unit is configured and quality-tested before delivery
  • Installation assistance and setup support are included in purchase price
  • Comprehensive warranty and technical support protect your investment

8.2 Exceptions to No Returns Policy

Returns and refunds are ONLY available in the following circumstances:

1. Defective Products (Dead on Arrival)

  • Product completely non-functional upon delivery
  • Hardware defect present immediately upon unboxing
  • Must be reported within 24 hours of delivery
  • ARSA will verify defect through remote diagnostics

2. Wrong Item Shipped

  • ARSA shipped incorrect product or model
  • Must be reported within 24 hours of delivery
  • Provide photos of received item vs. order confirmation

3. Shipping Damage

  • Product damaged during transit
  • Visible damage to packaging or product
  • Must be noted on delivery receipt and reported within 24 hours
  • Photos of damage required

4. Missing Items or Accessories

  • Ordered items missing from shipment
  • Accessories or components not included
  • Must be reported within 24 hours of delivery

8.3 Defective Product Resolution

If Product is Defective Upon Arrival:

Customer Must:

  1. Report within 24 hours of delivery: [email protected]
  2. Provide: Order number, serial number, detailed description
  3. Provide photos or videos clearly showing the defect
  4. Do NOT install or attempt to use defective product

ARSA Will:

  1. Conduct remote diagnostic verification (when possible)
  2. If defect confirmed, issue Return Merchandise Authorization (RMA)

Resolution Options (Customer’s Choice):

  • Replacement Unit: New product shipped immediately after deffected unit received by ARSA (priority shipping)
  • Full Refund: 100% refund
  • Repair: Product repaired and returned (if Customer prefers same unit)

No Restocking Fee or Penalties for Genuine Defects

8.4 Wrong Item or Shipping Error Resolution

If ARSA Shipped Wrong Item:

Immediate Resolution:

  • Report within 24 hours: [email protected]
  • ARSA covers all costs (return shipping + correct item shipping)
  • Correct item shipped immediately (before return received if in stock)
  • No restocking fee or charges to Customer

Options:

  1. Exchange for correct item (free expedited shipping)
  2. Full refund including shipping costs
  3. Keep wrong item at discounted price (if applicable)

8.5 Order Cancellations

Before Order Ships:

  • Cancellation Allowed: Contact [email protected] immediately
  • Full Refund: If order has not entered shipping process
  • Processing Fee: PayPal processing fees (2-6%) are non-refundable
  • Timeline: Refund issued within 3-5 business days

After Order Ships:

  • No Cancellation: Order cannot be cancelled
  • No Returns: All sales final once shipped and delivered
  • Exception: Defective products only (per Section 8.3)

Custom/Made-to-Order Products:

  • Non-Cancellable: Once production begins (typically 48 hours after order confirmation)
  • No Refunds: Production costs incurred immediately
  • Exception: If ARSA fails to deliver per agreed specifications

30-Day Premium Support:

1-Year Standard Support:

  • Software updates and security patches

Extended Warranty Available:

8.8 Customer Acceptance of No Returns Policy

By Placing an Order, Customer Acknowledges:

✓ I understand all sales are final once product is delivered
✓ I cannot return product for refund or exchange (except defects)
✓ I have reviewed product specifications and confirmed suitability
✓ I have verified compatibility with my infrastructure
✓ I have contacted ARSA with any questions before purchasing
✓ I understand my purchase is protected by 1-year warranty
✓ I accept responsibility for ensuring product meets my needs

8.9 Refund Processing (When Applicable)

For Eligible Refunds Only (defective products, wrong items, shipping damage, pre-shipment cancellations):

Refund Timeline:

  • ARSA initiates refund: 2-3 business days after approval
  • PayPal processing: 1-3 business days
  • Bank/card refund: Additional 5-10 business days (varies by institution)
  • Total time: 10-20 business days from approval to funds in account

Refund Amount:

  • Full product price refunded
  • Original shipping costs refunded (for defects and errors)
  • Return shipping costs covered by ARSA (for defects and errors)
  • Currency conversion fees by PayPal are non-refundable
  • If exchange rates changed, refund amount in local currency may differ

Refund Method:

  • Refunded to original PayPal payment method
  • Same PayPal account receives refund

8.10 Dispute Resolution for Returns Claims

If Customer Disagrees with ARSA’s Assessment:

Step 1: Internal Review

  • Second-level technical assessment conducted
  • Response within 5 business days

Step 2: Independent Assessment

  • For disputes >USD 3125, independent technical assessment available
  • Neutral third-party technician inspects product
  • Assessment costs split between parties
  • Assessment findings binding on both parties

Step 3: Formal Dispute Resolution

  • If disagreement persists, follow Section 12 (Dispute Resolution)
  • Mediation or arbitration available
  • Legal action as last resort

PayPal Dispute:

  • Customer may open PayPal dispute within 180 days
  • ARSA will respond with evidence and documentation
  • PayPal mediation available

8.11 Important Reminders

Before You Buy:

9. INTELLECTUAL PROPERTY

9.1 ARSA Intellectual Property

All content including software, AI algorithms, product designs, trademarks (“ARSA Technology,” product names), and website content are exclusive property of ARSA Technology, protected by Indonesian and international intellectual property laws.

9.2 License Grant

Upon purchase, Customer receives non-exclusive, non-transferable license to use products for intended purpose in Customer’s business operations.

9.3 Customer Restrictions

Customer may NOT:

  • Reverse engineer, decompile, or disassemble software
  • Distribute, sublicense, or sell ARSA software to third parties
  • Remove or alter copyright notices
  • Use ARSA’s trademarks without permission

9.4 Customer Data

Customer retains all rights to data generated by ARSA products. ARSA does not access or claim ownership of Customer data (analytics, video footage, health records).


10. PRIVACY & DATA PROTECTION

10.1 Data Collection

ARSA collects personal data in accordance with Indonesian Personal Data Protection Law and our Privacy Policy. Data collected includes: account information, order details, payment records (processed by PayPal), and optional product usage data.

10.2 Edge Computing & Data Privacy

ARSA AI Box products process all video analytics locally on-device. No video footage is transmitted to cloud servers or ARSA’s systems. Personal data remains on Customer’s premises. Internet connection not required for core functionality.

10.3 Data Security

ARSA implements industry-standard security: SSL/TLS encryption, access controls, secure data centers, and regular security audits.

10.4 Your Data Rights

Under Indonesian PDP Law, you have rights to access, rectify, erase, restrict processing, and data portability. Contact [email protected] to exercise rights.

10.5 Customer’s Compliance Obligations

If using ARSA products to process personal data (video surveillance, health data), Customer is the data controller and responsible for compliance with applicable data protection laws, obtaining necessary consents, and posting privacy notices.


11. LIMITATION OF LIABILITY

11.1 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Products provided “AS IS” and “AS AVAILABLE” without warranties of any kind. ARSA does not warrant products will be error-free, uninterrupted, meet all requirements, or be 100% accurate.

11.2 Limitation of Liability

ARSA’s total liability shall not exceed the amount paid for the specific product giving rise to the claim.

ARSA NOT LIABLE FOR:

  • Indirect, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Business interruption
  • Even if advised of possibility of such damages

11.3 Specific Limitations

ARSA not liable for damage from improper installation, misuse, environmental factors, third-party issues, AI accuracy variations, business decisions based on product data, data loss, or security incidents not caused by product defect.

11.4 Critical Applications Warning

ARSA PRODUCTS NOT DESIGNED FOR CRITICAL APPLICATIONS including life-support systems, nuclear facilities, aviation, military applications, or emergency services as sole system. Customer assumes all risk if used in critical applications.


12. GOVERNING LAW & DISPUTE RESOLUTION

12.1 Governing Law

These Terms governed by laws of the Republic of Indonesia.

12.2 Jurisdiction

Disputes subject to exclusive jurisdiction of courts of Surabaya, East Java, Indonesia.

12.3 Dispute Resolution Process

Before litigation, parties agree to:

  1. Negotiation (30 days): Good faith attempt to resolve directly
  2. Mediation (60 days): Professional mediation if negotiation fails
  3. Arbitration or Litigation: BANI arbitration (for disputes >USD 10.000) or Surabaya courts

12.4 Class Action Waiver

Customer agrees to resolve disputes individually and waives right to participate in class actions.

12.5 Time Limits

Claims must be brought within 1 year of event giving rise to claim.


13. CHANGES TO TERMS

13.1 Right to Modify

ARSA reserves right to modify Terms at any time.

13.2 Notification

Minor changes posted on Website. Material changes notified by email with 30-day advance notice.

13.3 Acceptance

Continued use after changes constitutes acceptance. If you don’t accept, stop using Website and services.

15. MISCELLANEOUS

15.1 Entire Agreement

These Terms, together with Privacy Policy and product-specific agreements, constitute entire agreement between parties.

15.2 Severability

If any provision invalid, remaining provisions remain in full effect.

15.3 No Waiver

Failure to enforce any right does not constitute waiver.

15.4 Assignment

Customer cannot assign without consent. ARSA may freely assign.

15.5 Force Majeure

Neither party liable for delays due to events beyond reasonable control (natural disasters, pandemics, government actions, etc.).
